1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") govern your access to and use of the My EMI Locker platform ("Platform"), operated by Sujeet Uttam Hankare ("Individual"). By registering as a partner, retailer, distributor, or finance partner, or by using any part of our Platform, you confirm that you have read, understood, and agree to these Terms.

2. ABOUT THE PLATFORM

My EMI Locker is a B2B EMI device security platform that enables:

• Remote device locking and unlocking based on EMI repayment status
• Real-time monitoring of financed device portfolios
• API integration with NBFCs, banks, and LOS/LMS systems
• Partner and retailer onboarding and management
• EMI risk management and reporting

3. PARTNER / USER ACCOUNTS

• All accounts require valid business registration and KYC documents
• You are responsible for maintaining the confidentiality of your login credentials
• Accounts are non-transferable without prior written consent from the Individual
• You must promptly notify us of any unauthorised access to your account
• The Sujeet Uttam Hankare (Individual) reserves the right to suspend accounts for violations of these Terms

4. PERMITTED USE

You agree to use the Platform only for its intended B2B EMI device management purposes. You must NOT:

• Use the Platform to lock devices of customers who have not defaulted on EMI payments
• Use the locking/unlocking feature for purposes other than EMI collection
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Share API credentials or dashboard access with unauthorised parties
• Submit false KYC or business information
• Use the Platform in violation of any applicable laws including consumer protection laws

5. PARTNER OBLIGATIONS

• Obtain proper consent from end customers for device locking as part of the EMI agreement
• Disclose the EMI locking feature to customers at the time of sale
• Comply with all RBI guidelines, NBFC regulations, and consumer protection laws
• Maintain accurate records of all financed devices and EMI statuses
• Ensure timely reporting of device status changes to the Individual

6. DEVICE LOCKING — USAGE RESTRICTIONS

• Devices must be unlocked within 2 hours of EMI payment confirmation
• Emergency unlock must be provided for safety-critical situations
• Locking must not restrict access to emergency calls (112)
• Records of all lock/unlock events must be maintained for audit purposes

7. FEES & PAYMENTS

• Platform subscription fees are as per the Partner Agreement signed at onboarding
• All fees are exclusive of applicable GST
• Fees are subject to revision with 30 days' written notice
• Refunds are governed by our Refund Policy

8. INTELLECTUAL PROPERTY

All platform content, software, APIs, trademarks, and proprietary technology are the exclusive property of Sujeet Uttam Hankare. Partners are granted a limited, non-exclusive licence to use the Platform solely for the purpose described in the Partner Agreement.

9. LIMITATION OF LIABILITY

• The Individual is not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the fees paid in the preceding 3 months
• The Individual is not liable for network downtime caused by third-party OEM or telecom issues

10. TERMINATION

The Individual may terminate or suspend your account immediately if you breach these Terms, engage in fraudulent activity, or misuse the device locking feature. Upon termination, all access to the Platform ceases and all pending obligations must be settled.

11. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts in Navi Mumbai, Maharashtra.

12. AMENDMENTS

We may update these Terms at any time. Continued use of the Platform after the effective date of changes constitutes acceptance. Material changes will be notified via email.
